Zinny Mart Vendor Agreement

This agreement is between you (the "Vendor") and Zinny Empire Group Limited (RC 9166863), 56/57 Stadium Road, Port Harcourt ("Zinny Empire"), which operates the Zinny Mart marketplace at zinnyempire.com/mart.

1. Your goods, your responsibility. You are the seller of every item you list. You alone are responsible for the quality, safety, legality, description, delivery, warranty and after-sale service of your goods and services. Zinny Empire is not the seller and does not take ownership of any item.
2. Accurate information. You confirm that your name, selfie, National Identification Number (NIN), phone, address and bank details are true and belong to you, and that every listing is accurate and not misleading.
3. Payments. Buyers pay you directly into the bank account you register. You must confirm payment and fulfil the order promptly and must never ask a buyer to pay outside the order or into a different account.
4. Indemnity. You agree to indemnify and hold harmless Zinny Empire Group Limited, its directors, staff and agents against all fraud, claims, demands, losses, damages, penalties, costs and legal fees arising from your listings, goods, services, conduct, or breach of this agreement or of any law.
5. Law enforcement and legal action. You consent to Zinny Empire sharing your identity, NIN, selfie, bank details, contact details, listings and transaction records with the Nigeria Police Force, EFCC, courts, regulators and other competent authorities, and to Zinny Empire using that information to report suspected fraud and to pursue civil or criminal legal action against you to recover losses.
6. Prohibited items. You must not list: stolen goods; counterfeit or pirated goods; firearms, ammunition, explosives or weapons; illegal drugs, controlled substances or unregistered/expired medicines (NAFDAC rules apply); alcohol or tobacco to minors; human body parts; wildlife products protected by law; adult content; fake documents, SIM cards registered to others, or bank accounts; hazardous chemicals; anything whose sale is illegal in Nigeria. Zinny Empire may remove any listing and suspend any vendor at its discretion.
7. Approval. Your vendor account and every listing (new or edited) are reviewed before going live. Approval is not a guarantee or endorsement.
8. Data protection consent (NDPR / Nigeria Data Protection Act 2023). You consent to Zinny Empire collecting and processing your personal data (including your NIN, selfie and bank details) for identity verification, fraud prevention, showing your bank details to buyers at checkout, record keeping, and the purposes in clause 5. Sensitive data is stored encrypted and is accessible only to authorised Zinny Empire administrators. You may request access to or correction of your data by writing to hello@zinnyempire.com; some records must be kept to meet legal obligations.
9. Referral rewards you offer. If you switch on a referral reward for your shop, you must pay each referrer directly, in full and promptly, for every completed order that comes through their link, and mark it Paid on your dashboard. Zinny Empire does not hold or pay this money. Referrers can report unpaid rewards; unpaid referral rewards can lead to your shop being suspended or closed.
10. Fees. Listing is free during the launch promotion. Zinny Empire may introduce listing fees with notice to you. No sales commission applies unless you choose the optional agent arrangement below.
11. Optional Zinny agent arrangement. If you choose it in your vendor dashboard, you agree to pay Zinny Empire a commission of 2.5% of the item value of each Zinny Mart sale made by a Zinny agent (a buyer who came through the agent’s link), once the buyer’s payment has been confirmed, subject to the written terms. Each such order is marked “Sale made by an agent” in your dashboard. Of the 2.5%, Zinny Empire keeps 0.5% as a service charge and the agent receives 2%. It applies only to orders placed while it is active, a cancelled or refunded order owes nothing, and you can stop it at any time for new orders. It is separate from any listing fee or subscription.
12. Paying what you owe. Pay Zinny Empire what is owed after a sale. While it is unpaid you will get an hourly reminder, and your shop is automatically suspended 3 days after the sale; while suspended, your shop and listings are hidden from buyers until Zinny Empire confirms your payment. (Zinny’s own products are exempt.)
13. Termination. Zinny Empire may suspend or close your vendor account at any time, especially where fraud or a breach is suspected.
14. Governing law. This agreement is governed by the laws of the Federal Republic of Nigeria.
